These Terms of Use (“Terms”) govern your access to and use of all services operated under the Podcast Delivery brand, including but not limited to podcastdelivery.com, deals.podcastdelivery.com, newsletter.podcastdelivery.com, the newsletter and marketing tools, the deals and discounts directory, paid memberships, user-submitted listings, and any future features or products (collectively, the “Services”). These Services are operated by Podcast Delivery, a business of Orishnal Digital Services (the “Company”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Intended Audience

The Services are intended for a general audience but are not intended for children under 13.
By using the Services, you confirm you are at least 13 years old. Users under 18 may only use paid features with the involvement of a parent or guardian.

We do not knowingly collect personal information from children under 13 and will delete such information if discovered.

2. Description of the Services

  • A weekly newsletter highlighting podcasts, creators, and related content
  • A directory of software, tools, subscriptions, gear, and other offers (“Deals”)
  • Paid memberships granting access to exclusive deals and discounts
  • Affiliate-linked products and partner offers
  • Social and promotional tools enabling users to submit podcast information for amplification
  • Content enrichment features using third-party processors (metadata extraction, logo retrieval, AI-based summarization)
  • Account-based access to saved deals, preferences, billing, and email notifications
  • Other features added over time

We may modify, update, or discontinue any part of the Services at any time.

3. Accounts & Registration

Certain features require an account. You must provide accurate information and keep your account secure.

You agree to:

  • Maintain accurate registration data
  • Keep your password confidential
  • Notify us immediately of any breach or unauthorized access

We may suspend or terminate accounts for violation of these Terms.

4. Paid Memberships, Billing & Refunds

4.1 Subscriptions

Paid access to Deals or other features is billed via Stripe and renews automatically unless cancelled.

4.2 Pricing

Prices may change. Changes apply to new billing periods unless otherwise stated.

4.3 Taxes

You are responsible for any taxes required in your jurisdiction.

4.4 Refund Policy

All subscription charges—first purchase and renewals—are refundable within 30 days of the charge.
All PAYG (one-time) purchases are refundable within 30 days of purchase.
Refunds may be denied in cases of abuse, fraud, or excessive refund history.

4.5 Cancellation

You may cancel at any time through your account or via Stripe’s customer portal.
Cancellation stops future charges but does not refund past charges unless within the 30-day window.

5. Affiliate Links and FTC Disclosure

Many Deals include affiliate links. We may earn a commission when you click or purchase through these links.

We do not guarantee:

  • Availability
  • Pricing
  • Quality of third-party products
  • Terms or redemption eligibility of partner offers

You are responsible for reviewing third-party terms.

6. User Content & Submissions

Users may submit podcast details, URLs, descriptions, images, reviews, or other content (“User Content”).

6.1 Ownership

You retain ownership of your User Content.

6.2 License to Us

By submitting User Content, you grant us a worldwide, nonexclusive, royalty-free license to:

  • Store, display, reproduce, modify, distribute, and transmit your content
  • Use it for operating, improving, and promoting the Services
  • Generate derived works such as previews, metadata, summaries, or enriched content

6.3 Prohibited Content

  • Illegal
  • Infringing
  • Defamatory
  • Harassing, hateful, or abusive
  • Spam or automated submissions
  • Malware or harmful code

We may remove any User Content at our discretion.

7. Acceptable Use

You agree not to:

  • Scrape, crawl, or harvest content without permission
  • Create automated accounts or use bots
  • Reverse-engineer or interfere with the Services
  • Circumvent access controls or security
  • Abuse promotions or discounts
  • Misrepresent identity or affiliation
  • Use the Services for unlawful purposes

Violations may result in termination or legal action.

8. Intellectual Property

All rights not expressly granted are reserved.

You may not:

  • Copy or redistribute site content without permission
  • Use our branding, logos, or trademarks without consent
  • Republish or sell aggregated data from the Services

9. Third-Party Services

We integrate with third-party processors, including:

  • Stripe
  • Supabase
  • Cloudflare
  • Beehiiv
  • Resend
  • OpenAI
  • Microlink
  • Logo.dev
  • Analytics and ad networks (GA, Meta, Twitter/X, FullStory)

Your use of their services is governed by their terms and privacy policies.

10. AI Enrichment & Automated Processing

We use automated systems for:

  • Metadata extraction
  • Logo generation
  • Summaries and content enrichment
  • Automated formatting

Your data is not used to train foundation models.

11. Privacy & Cookies

Your use of the Services is also governed by our Privacy Policy and Cookie Policy.

12. Availability & Disclaimer of Warranties

The Services are provided “as is” and “as available.” We do not guarantee uptime, accuracy, deal availability, or that the Services meet your expectations.

13. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, consequential, punitive, or special damages.
  • Our total liability shall not exceed the greater of:
    • the amount you paid in the 12 months prior, or
    • USD $50.

14. Indemnification

You agree to indemnify and hold harmless Podcast Delivery from all claims arising from your use of the Services, your content, or violations of these Terms.

15. Governing Law, Arbitration & Class-Action Waiver

15.1 Governing Law

These Terms are governed by the laws of British Columbia, Canada.

15.2 Binding Arbitration

Disputes will be resolved by binding arbitration administered by the ADR Institute of Canada.

15.3 Class-Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions.

15.4 Small Claims

Either party may bring eligible disputes in small claims court.

16. Termination

We may suspend or terminate accounts for violations, fraud, legal reasons, or security concerns.

17. Changes

We may update these Terms. Continued use signifies acceptance.
